Terms of Service

1. The License

Subject to these Terms and payment of any applicable fees, asanaSoft grants you a non-exclusive, non-transferable, revocable license to install and use the Software, in object-code form only, according to the tier and billing model you've purchased:

• Community — free, perpetual, one instance, subject to the resource limits published on our pricing page at the time of issue.
• Developer / Pro (perpetual) — a one-time fee grants a perpetual license for one instance, at the capability tier purchased. The license does not expire, but it is bound to a single machine on first activation and is not transferable to a different machine without our consent.
• Pro (monthly) — a recurring subscription grants one license per unit of quantity purchased ("per node"), each independently bound to a single machine on activation, for as long as the subscription remains active and paid. Access lapses at the end of the billing period following cancellation or a failed payment that isn't resolved.

Licenses are not sold; you are licensing the right to use the Software under these Terms. asanaSoft and its licensors retain all right, title, and interest in and to the Software.

2. What You Can't Do

You agree not to:

• Circumvent, disable, or interfere with license enforcement, activation, or capability restrictions;
• Reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction;
• Sublicense, resell, rent, or lease the Software to a third party without our prior written consent;
• Use a license on more machines or nodes than it was issued for; or
• Remove or obscure any proprietary notices in the Software.

3. Your Data

The Software stores and processes data you load into it locally, on infrastructure you control. asanaSoft does not access, transmit, or have any visibility into the contents of your databases. You own your data outright. See our Privacy Policy for what limited operational data we do collect (license registration and activation records).

4. Payment & Billing

Payments are processed by Paddle.com Market Limited ("Paddle"), our authorized reseller and merchant of record. Paddle handles billing, tax collection and remittance, and payment method storage — asanaSoft never receives or stores your card details. Your purchase is also subject to Paddle's Buyer Terms. Subscription pricing and any changes to it will be disclosed before you're charged.

6. Termination

We may revoke a license and terminate your access if you materially breach these Terms (including license sharing or circumvention) and don't cure the breach within a reasonable time after notice, or immediately in cases of fraud, chargeback abuse, or a payment that's reversed or fails and isn't resolved. Subscription licenses also end automatically at the close of the billing period following cancellation. Sections 3, 7, 8, and 9 survive termination.

7. Warranty Disclaimer

The software is provided "as is," without warranty of any kind, express or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted, error-free, or free of security vulnerabilities.

8. Limitation of Liability

To the maximum extent permitted by law, asanaSoft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Software. asanaSoft's total liability under these Terms will not exceed the amount you paid for the license giving rise to the claim in the 12 months before the claim arose.

9. Governing Law

These Terms are governed by the laws of the jurisdiction in which asanaSoft, LLC is organized, without regard to conflict-of-law principles, and without giving effect to the United Nations Convention on Contracts for the International Sale of Goods.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the effective date above. Continued use of the Products after a change means you accept the updated Terms.
